Stella has extensive experience in capital raising, cross-boarder and domestic mergers and acquisitions, regulatory (Listing Rules and Corporations Act) compliance, corporate governance, general commercial law and in-house legal advisory.
Stella has advised a number of listings on ASX (IPOs and reverse listings), entitlement offers and share purchase plans, as well as significant inbound investments and multi-jurisdictional acquisitions across a broad range of industries.
Formerly a lawyer at ASIC, Stella has special knowledge and skillset in regulatory compliance, corporate governance advisory, navigating highly regulated environment and communicating with different stakeholders, with demonstrated technical expertise in fundraising, takeover provisions, related party transactions, continuous disclosure and financial reporting provisions under the Corporations Act.
Experience
Stella’s experience includes advising:
- PKS Holdings on its IPO, and subsequent acquisition of Pavilion Health;
- AF Legal on its reverse listing on ASX;
- A number of ASX-listed clients on entitlement offers and secondary capital raising, including Genex Power, Pureprofile and White Energy Company;
- Significant overseas investors in relation to sale and purchase of Australian business assets as well as joint ventures, including USG Corporation, ToenGeneral Sekiyu, Itochu Corporation and MasterCard Asia Pacific; and
- Various clients across a broad range of industries on commercial matters, including Hipages, Healthdirect, Raiz and Financial Planning Association of Australia.
