Shane Lloyd

Shane is a Special Counsel in our Corporate team with over 15 years’ experience as a corporate and transactional lawyer.

Shane specialises in corporate and commercial law with an emphasis on mergers and acquisitions, joint ventures and corporate restructures.

Shane has extensive experience in:

  • drafting, reviewing and negotiating a wide range of transaction documents and general commercial contracts (including Implementation and Restructure Agreements, Share Sale and Purchase Agreements, Business Sale and Purchase Agreements, Share Subscription Agreements, Shareholders Agreements, Confidentiality Agreements, Services Agreements and Supply Agreements); and
  • undertaking and managing legal due diligence exercises and preparing legal due diligence reports (for both vendors and purchasers).

Experience

Shane’s experience includes advising:

  • Owners and Management of ATOM Group in relation to the sale of ATOM Group, one of the largest suppliers of safety and industrial equipment in Australia, to Pacific Equity Partners;
  • Officeworks in relation to its acquisition of digital education provider, Box of Books;
  • Wesfarmers in relation to its disposal of the Greencap and TrimEVAC businesses to WSP;
  • Bunnings in relation to its acquisitions of:
    • Beaumont Tiles (and subsequent acquisition by Beaumont Tiles of the Surfaces by Hynes business);
    • Tool Kit Depot (formerly Adelaide Tools); and
    • the Dynamic Steel Frame business.
  • S Kidman & Co Ltd, Australia’s largest private landholder, in relation to the $386.5M sale to a consortium comprising Hancock Prospecting and Shanghai CRED;
  • Shareholders of Mexican Express in relation to the sale of the Mexex business to Atlantic Growth Capital;
  • Voyager Equity, Australia’s first traditional search fund, in relation to the establishment of the search fund, its acquisition of the Inerva software business and its subsequent acquisition of the Resident Select business;
  • Colonial First State in relation to its acquisition of Water Utilities Australia;
  • Australian Vintage Limited in relation to the disposal of the Yaldara winery and brand to 1847 Wines; and
  • Greg Hicks (the founder of Adam Internet), in relation to the sale of Adam Internet to iiNet (and prior to that in relation to the proposed sale to Telstra).
