HWL Ebsworth is advising ASX-listed Next Science Limited (ASX: NXS) on the proposed sale of its business to Italian healthcare group Demetra Holding S.p.A (Demetra) for a total purchase price of US$50 million (A$76 million) and the assumption of certain agreed liabilities. On 30 June 2025, NXS and Demetra signed a binding asset purchase agreement for NXS and its wholly owned subsidiaries to sell substantially all of their assets (which are based in Australia and the US) to Demetra (Proposed Transaction).
The Proposed Transaction is subject to certain customary conditions precedents, including shareholder approval under ASX Listing Rule 11.2. The ASX announcement outlining key terms and benefits of the Proposed Transaction can be viewed here.
