Sam Dwyer

Sam has worked on a large range of transactions involving mergers and acquisitions, joint ventures, due diligence investigations, shareholder agreements and disputes, IPOs and backdoor listings, private and public capital raisings, employee share schemes and corporate restructures. Sam also regularly advises in respect of corporate governance issues and is a member of the Governance Institute of Australia.

Sam’s clients include high net wealth individuals, start-ups, SMEs, not-for-profits, large private companies and publicly listed companies over a variety of industries such as FMCG, agribusiness, health, technology, hotels, and property development.

Sam is recognised as a recommended M&A practitioner in the Asia Pacific region by The Legal 500 and has been named in Best Lawyers(tm) Australia for Equity Capital Markets Law.

Experience

Sam’s recent experience includes:

  • Whispir: Acting on the $47m IPO and ASX listing of communications and workflow focused SaaS business;
  • Thundering Herd: Acting on various matters including its acquisitions of GoFetch and BrickX, its divestment of interest in FieldGo and on its convertible note funding in Acurus and The Room Xchange and underwriting of $5m rights issued by Cellnet Group;
  • MSP Photography: Advised the shareholders of school photography franchise business on its merger with education SaaS business Compass Education Group with investment from PE fund, Advent Partners;
  • Mantra Group: Acting on $52m acquisition of the Art Series Hotel Group;
  • MedAdvisor: Acting on MedAdvisor’s backdoor listing into Exalt Resources, subsequent capital raising activities and acquisition of key competitor, Health Notes; and
  • Décor: Acting on the sale of the Décor Corporation to Marlin Home.
