Sam Dwyer

Sam has worked on a large range of transactions involving private and public mergers and acquisitions, equity capital market transactions including IPOs and secondary raisings, employee share schemes and general corporate advisory. Sam also regularly advises in respect of corporate governance issues and is a member of the Governance Institute of Australia.

Sam’s clients include publicly listed companies, private equity and venture capital funds, SMEs, start-ups and high net wealth individuals and over a variety of industries including technology (including fintech, biotech, medtech and SaaS), FMCG, agribusiness, hotels and tourism, health and property development.

Sam is recognised as a recommended M&A practitioner in the Asia Pacific region by The Legal 500 and has been named in Best LawyersTM Australia for Equity Capital Markets Law.

Experience

Sam’s recent experience includes advising:

  • the founder shareholders of Compass Education on its sale to EQT;
  • MedAdvisor on its ASX listing and initial public offering, circa $85 million in subsequent secondary raisings and acquisitions of Health Notes, US-based Adheris Health from NASDAQ-listed Syneos Health and GuildLink;
  • Salter Brothers on various investments, including majority investment in e-prescription platform business; Series A lead funding of global payments API platform business; acquisition of global payments API platform business; strategic investment into eProcurement cloud-based marketplace; and investment into telecommunications service provider;
  • Citation Group on its foray into Australia with the acquisition of FCB Legal and various bolt on acquisitions; and
  • Mantra Group on its acquisition of the Art Series Hotel Group.
