Jeremy is a Partner in HWL Ebsworth’s Corporate and Commercial Team in Melbourne. Jeremy has worked on a large range of commercial transactions involving business sales and acquisitions, joint ventures, takeovers, schemes of arrangement, capital raisings, venture capital, private equity, in-bound foreign investment and corporate restructures.

Jeremy advises clients in a variety of industries including agribusiness, food and beverage, financial services and has particular expertise in health and aged care.

Jeremy has been named for over a decade in “Best Lawyers Australia” for Mergers and Acquisitions, Commercial Law and Corporate Law. Jeremy has also been recognised as a leading business and commercial lawyer in “Doyles’ Guide to the Legal Profession in Australia“.  With respect to health and aged care expertise, Jeremy has also been twice selected by his peers as “Lawyer of the Year” for Melbourne in “Best Lawyers Australia”.

  • Ridley Corporation Acting on the acquisition of Incitec Pivot Fertiliser distribution business from Dyno Nobel for $375 million.
  • BaptistCare Advised on the merger of Baptcare (VIC, TAS, SA), Baptist Care SA and BaptistCare (NSW, ACT, WA), to become Australia’s third largest integrated care and service provider.
  • Health and Aged Care transactions Advised on the acquisition and sale of numerous private hospitals and allied health businesses together with aged care facilities and retirement villages.
  • Kidman & Co Advised S. Kidman & Co. on its acquisition of Driza-Bone and Rossi Boots from Australian fashion company, Propel Group.
  • Ellis Air Conditioning Advised Ellis Air Conditioning on the sale of its commercial air conditioning and mechanical services business in Australia and New Zealand to Japanese multi-national Sojitz Corporation; and
  • Orkla SA Advised Norwegian group Orkla ASA on the Australian aspects of its sale of a 40% minority stake in its food and ingredients unit, Orkla Food Ingredients, to global private-equity firm Rhône for an enterprise value of Nkr15.5 billion (AU$2.18 billion).
  • Jalna Dairy Foods Advised the vendors of Australian-based yoghurt maker, Jalna Dairy Foods, on its recent sale to French headquartered Lactalis Group, the world’s largest dairy business.
  • Whispir Limited Advised Whispir, a communications platform-based SaaS business, from assisting it raise seed capital, then several expansion funding rounds, pre-IPO funding and finally through to its listing on the Australian Stock Exchange.
  • Coventry Group Advised Advised ASX listed Coventry Group Limited on its sale of AA Gaskets to GUD Holdings Limited and its business purchases of Torque Industries and Nubco.
  • Michelin Advised on its acquisition of online tyre retailer Tyroola.
  • Petuna Seafoods Advising the founders of Petuna Aquaculture, one of Tasmania’s largest seafood businesses, on its sale to Sealord Group.
  • BioMar Advising Denmark-based aquafeed supplier BioMar on its acquisition of AQ1 Systems, a maker of acoustic feeding technology for the prawn-farming industry.
