Maged Jebeile

Maged joined HWL Ebsworth in December 2019 in the Sydney Real Estate and Projects Team.

He is an Accredited Specialist in Property Law with over 19 years of broad commercial property law experience including negotiating government interface agreements with respect to major infrastructure projects, sales and acquisitions, option agreements, development projects and subdivisions, retirement village projects, easements and covenants, planning agreements, commercial, industrial and retail leasing, mortgages and funding arrangements.

Maged has assisted our blue-chip and property developer clients on major property acquisitions and sales in NSW.

Maged has advised Councils and government departments on interface agreements and other property related transactions with respect to major infrastructure projects and compulsory acquisitions.

Maged has been instrumental guiding our major commercial landlords, tenants and shopping centres on the application of the COVID-19 commercial and retail lease relief measures for NSW.

Maged’s practice also includes business sales and acquisitions with a focus on pharmacy, retail and hospitality industries.

As a member of the Law Society’s Property Law Committee since 2012, Maged has contributed to various submissions on property law reform and assisted in redrafting industry recognised documents such as the latest editions of the standard form of Contract for Sale and Purchase of Land and the Law Society’s 2018 and 2021 release of the NSW Retail and Commercial standard form of leases. Maged also participates in the Committee’s adjudication of disputes under the Law Society’s Conveyancing Dispute Resolution Scheme.

Maged is a contributing author to the NSW Conveyancing Manual published by Thomson Reuters which is a core reference for Conveyancing Practitioners in NSW. Maged has also published a range of articles as an editor of the Australian Property Law Bulletin which is a national LexisNexis publication.

Experience

Maged’s experience includes advising:

  • Glenmore Park Shopping Centre Sale – (transaction value $150,000,000) as lead senior lawyer responsible for advising private investment company Village Fair Shopping Centres and drafting its contracted sale of the Glenmore Park Town Centre anchored by major tenants Woolworths, Coles, Aldi, as well as approximately 60 speciality retailers;
  • Abacus Property Group – (transaction value $25,000,000) as lead senior lawyer on the acquisition of NSW storage facility sites in Granville and North Wollongong;
  • Councils – with respect to negotiating interface agreements for the Western Sydney Airport Project and the Western Harbour Tunnel and Warringah Freeway upgrade project which govern the relationship between the government authority responsible for the project works and the impact to Council’s assets;
  • Major Landlords and Tenants during COVID-19 – on the application of the COVID-19 mandatory code of conduct and adopted regulations to retail and commercial leases in NSW, assisting with negotiations and drafting the variations of lease and side deeds to document the negotiated COVID-19 relief;
  • A Harbour Authority – with respect to drafting easements and restrictions on use of land to support a seawall, box culvert, batter and drainage along the shoreline boundary between the land and harbour;
  • Transport for NSW – with respect to a sale to a developer involving land affected by a road widening proposal including drafting a Put and Call Option Agreement, Special Conditions to the Contract for the Sale and Purchase of Land and Acquisition and Compensation Agreement relating to the road widening proposal;
  • A Sydney Landlord – drafting commercial and retail leases for a newly developed Sydney CBD building including Agreements for Lease during the base building construction phase and ancillary documents such as incentive deeds for fit out contributions and rent incentives;
  • A high-end Resort Retirement Village Operator – with respect to the launch of two development projects and drafting a suite of tailored documents to facilitate the off the plan sales including the retirement village contract, off the plan agreement for lease, long term lease, loan agreement and associated disclosure documents;
  • A Marina Resort and Caravan Park Operator – for the sale of their resort business and land to a developer including advising and negotiating the terms of an option agreement, contract for sale and purchase of land, contract for sale of business, leasing arrangements, special provisions to facilitate the developer’s access, development application and funding arrangements whilst protecting our client’s interest and ongoing business operations during the option period; and
  • Friendly Pharmacy – as key legal advisor to a Friendly Society pharmacy chain including acting on their pharmacy sales and acquisitions, retail leasing, property acquisitions and sales and general commercial matters.
