Hanna is a Special Counsel in the commercial team based in Sydney.
Hanna advises on a wide range of corporate matters with a particular focus on equity capital market transactions, mergers and acquisitions and ASX Listing Rule & Corporations Act compliance. Hanna also provides advice in relation to commercial contracting issues and general business and company law matters.
Experience
Hanna’s experience includes advising:
- Property trusts Centuria Industrial REIT, Centuria Capital Group and Centuria Office REIT, on various entitlement issues, placements and security purchase plans;
- Atomo Diagnostics Limited on its initial public offer;
- Next Science Limited on its initial public offer;
- Zenitas Healthcare Limited on its target response to a takeover bid by way of scheme of arrangement;
- Various clients in regards to share sales, asset sales, shareholders agreements, distribution agreements, supply agreements, services agreements, and joint venture arrangements;
- Various clients in regards to providing corporate structuring and compliance advice in respect of the ASX Listing Rules and the Corporations Act 2001;
- Various clients on directors’ duties, related party transactions and corporate governance issues;
- Board members and requisitioning shareholders in numerous attempted board spills; and
- Various companies in relation to capital raisings, initial public offers, backdoor listings and takeovers.
