Tony Morgan

Tony is a Partner in HWL Ebsworth’s Commercial Group. Tony has been a legal practitioner in the Northern Territory for 31 years and is admitted to the Supreme Courts of New South Wales and the Northern Territory and to the High Court of Australia.

Tony assists corporate and governmental clients in a broad range of commercial matters including acquisitions and disposal of substantial commercial, pastoral and other undertakings, land access matters, solar energy and property development projects, construction, NT Government regulatory frameworks and procurement, intellectual property protection and management and media and privacy matters.

Tony has participated on a number of corporate boards including Hottest Sevens Rugby, NT Chamber of Commerce and Industry and various private corporations.

Tony is currently a member of the NT Health Governance and Assurance Committee to the Department of Health and Chairs the Diocese Finance Council of the Catholic Church in the Northern Territory.

Experience

Tony’s experience includes advising:

  • The proprietors of the Wickham Point Immigration Accommodation Facility on all aspects of the construction, financing and operation of the project including dealings with the Commonwealth as Lessee and third party Supply Agreements;
  • Tourism NT (NT Government tourism bureau) in relation to sponsorships, competitions, media acquisition, co-operative marketing agreements, talent procurement, data sharing agreements, website and social media compliances and film production agreements;
  • Allianz in the sale of its office tower in Mitchell Street in the Darwin CBD including managing all due diligence, negotiated agreements and contract issues;
  • Confidential client in the successful objections hearing before the NT Liquor Commission to the Dan Murphy’s Liquor Licence Application;
  • Various local government councils (Cities and remote shires) in relation to external investigations, procurement, regulatory advice, property sales, leasing, licensing, planning and waste management and environmental issues;
  • Financiers and separately joint venture partners of the $495 million Darwin Prison-NT Secure Facilities PPP project in connection with the acquisition and construction due diligence and OH&S matters in the constructions and operational phases;
  • Epuron Solar in connection with due diligence, contractual documentation, EPC contracts and financing arrangements concerning the construction and commissioning of the Solar Power Station Project and subsequent operational agreements in Yulara township;
  • ANZ Bank and NAIF in its club lending facilities concerning the Barramundi Farm;
  • Confidential client in its restructuring of a technology start up and subsequent corporate advisory including, Intellectual Property protection and management, regulatory compliance issues, product distribution agreements, user terms and conditions, capital finance structuring in anticipation for an IPO;
  • Northern Territory Government in regards to developing and managing a conflicts of interest process for ‘Operation Rebound’ (Territory Economic Reconstruction Commission and Team Territory), including conflict of interest management, developing conflict of interests declarations and registers and providing independent probity oversight and advice; and
  • Department of Trade, Business and Innovation in regards to providing advice concerning GDPR privacy compliance implications across various government departments.
