HWL Ebsworth has expertise in advising on a range of issues affecting the mining industry in Australia. We understand the complexities of the legislative frameworks across all State jurisdictions.

Our expertise includes regulatory advice relating to the grant and operation of tenements under State legislation, advice on overlapping tenement issues, advice on water rights affecting mining tenures, the emerging greenhouse gas storage legislation, land access and compensation issues, joint venture and joint operating arrangements, and royalty agreements.

Our National Energy and Resources team has extensive experience in tenement acquisitions and divestments and we are experienced advisers to major mining companies on a range of different and complex issues relating to the production, transportation and sale of coal and other minerals both in Australia and internationally. We have advised both sellers and purchasers on a range of complex sale transactions.

Expertise

Our relevant experience includes acting on the following matters.

  • Galilee Basin Coal Project: advised a publicly listed coal exploration company on its divestment of coal assets in the Galilee Basin and in relation to its ongoing joint venture interests.
  • Major Queensland Electricity Generator - Coal Supply Agreements: we are currently advising a major coal-fired electricity generator in relation to its major coal, supply agreements for multiple power stations.
  • Carpentaria Exploration Limited: our partners advise this publicly listed exploration company on a range of matters. Recent work includes advising on its 2008 non-renounceable rights issue, advising on farm-in and joint venture agreements for coal exploration tenements in Queensland, and in respect of the acquisition of coal and iron ore interests in New South Wales. In 2010, we advised this company on a complex joint venture and farm-in deal in respect of a major iron ore project in New South Wales.
  • Acquisition of a Major Iron Ore Project in Western Australia: Andrew Bruton provided advice on the complex acquisition of a significant mining interest in Western Australia involving a major Chinese government owned entity. The project value was worth in excess of AUD$160 million and involved advising on multi-jurisdictional issues and Foreign Investment Review Board approvals as well as preparing and negotiating all Heads of Agreement, Shareholders Agreements, Share Sale Agreements and other transaction documents. The project involved advising on domestic tax and stamp duty issues, as well as compliance with listing requirements with respect to a foreign listed entity involved in the transaction.
