The national Banking and Financial Services Group comprises four key streams; Financial Services and Regulatory, Banking and Finance, Superannuation and Funds Management.
The Financial Services and Regulatory team has market-leading experience in drafting documents for innovative products, advising in connection with the acquisition and disposal of regulated businesses and advising in respect of the resolution of compliance breaches. The team acts for a broad range of financial service providers assisting with the creation, marketing, delivery and administration of retail financial products and services.
The Banking and Finance team acts for financial institutions in documenting domestic and cross-border finance transactions including acquisition and leveraged finance, securitisation, property finance, bilateral, club and syndicated facilities, secured and unsecured transactions, debt capital markets and leasing and structured finance and intercreditor arrangements. The group assists borrowers and sponsors, including listed and private companies, in documenting and advising on their finance and treasury facilities.
The Funds Management team has extensive experience in all aspects of funds and asset management, including product design and launch, restructures, licensing, amalgamations and alliances, white labelling and outsourced services arrangements. We act for a variety of clients in the wealth management industry including Fund and Asset Managers, Advisers, Financial Institutions, Industry, Corporate, Public Sector and Retail Superannuation Funds, Professional Trustees and Self Managed Superannuation Funds for high net worth individuals.
The Superannuation team enjoys industry recognition as experts in the field, acting for leading industry, retail and corporate superannuation funds, exempt public sector superannuation schemes and professional trustees. We also advise employer clients on their superannuation guarantee obligations and other superannuation issues. Our work spans successor fund transfers, advising on compliance with the Stronger Super reforms including the prudential standards for superannuation, advising on applications for a MySuper authorisation, advising on the acquisition and divestment of investments, reviewing investment management agreements, advising on SCT complaints and advising on a wide range of issues under relevant legislation including the Superannuation Industry (Supervision) Act 1993 (Cth) and the Superannuation Administration (Guarantee) Act 1992 (Cth).
Our relevant experience includes.
- Acting for Westfield in relation to its financing and treasury facilities and have recently completed the A$3.2Billion Syndicated Bridge acquisitions Facility for the Westfield Retail Trust and the A$9M medium term note programme for the Westfield Retail Trust;
- Acting for ANZ, CBA and Westpac in a club financing of one of Australia’s largest operators in the public transport industry, which featured a multi-layered security sharing structure with the borrower’s asset financiers;
- Acting as Australian legal advisors to PayPal. PayPal’s unique nature gives rise to a variety of regulatory issues and requires comprehensive and tailored legal advice; and
- Acting for the MTAA Superannuation fund in relation to the following matters: SIS Act compliance and governance, APRA prudential review and investigation, a major outsourcing agreement with an administrator under the SIS Act, outsourcing standard, sale of a A$100M commercial property in Melbourne, sale of a A$50M interest in a Greenfields residential estate and town centre in Queensland.
